By accessing, installing, or using UNITY, you acknowledge and agree to this Disclaimer Policy.
1. General Information and “As Is” Basis
UNITY is provided “as is” and “as available,” without any warranties of any kind, whether express, implied, or statutory. We make no representations or warranties25 regarding the completeness, accuracy, reliability, suitability, or availability of the software or the information, products, services, or related graphics contained26 within UNITY for any purpose. Any reliance you place on such material is therefore strictly at your own risk.
2. Software Performance and Functionality
- No Guarantee of Error-Free Operation: While we strive to develop a robust and reliable ERP solution, we do not warrant that UNITY will be error-free, uninterrupted, or free of viruses or other harmful components. Software is inherently complex, and bugs or issues may occur.
- Suitability for Purpose: The educational institution is solely responsible for determining whether UNITY meets its specific requirements and is suitable for its intended purpose. We do not guarantee that the software will fulfill all your specific operational or business needs.
- Future Compatibility: While we aim for compatibility, we do not guarantee that future versions of UNITY, or updates to the underlying Frappe ERPNext framework, will be compatible with all existing customizations, integrations, or your specific IT environment.
- Open Source Nature: UNITY is built on the open-source Frappe ERPNext framework. While this provides flexibility, it also means that certain functionalities or features may be contributed by the open-source community, and we are not responsible for their direct development or ongoing maintenance unless explicitly undertaken by us as part of a separate service agreement.
3. Data Integrity and Responsibility
- Your Data Responsibility: You are solely responsible for the accuracy, completeness, legality, and integrity of all data entered, uploaded, or processed within your UNITY instance (“Licensee Data”). This includes, but is not limited to, student records, staff information, financial data, and academic results.
- Backup Responsibility: You are primarily responsible for implementing and maintaining your own comprehensive data backup and disaster recovery procedures for your UNITY instance and Licensee Data, especially if the software is deployed on your own infrastructure. While we may offer backup services as part of a separate hosting or Annual Maintenance and Support (AMS) agreement, this disclaimer applies unless explicitly superseded by such an agreement.
- No Data Loss Guarantee: We do not guarantee against data loss, corruption, or unauthorized access, particularly in scenarios outside our direct control (e.g., your network issues, hardware failures, security breaches on your infrastructure).
4. Third-Party Links and Integrations
UNITY may contain links to third-party websites, applications, or services, or offer integrations with them. These links and integrations are provided for your convenience only. We have no control over the nature, content, and availability of those sites or services. The inclusion of any links or integrations does not necessarily imply a recommendation or endorsement of the views expressed within them. We are not responsible for27 any privacy practices, terms of use, or content of such third-party sites or services.
5. Financial and Legal Advice
Information or functionalities within UNITY related to finance, accounting, or legal compliance (e.g., GST, payroll modules) are for administrative and operational purposes only. They are not intended to constitute, and should not be relied upon as, professional financial, tax, or legal advice. You should consult with qualified professionals for specific advice tailored to your institution’s circumstances. We disclaim all liability for any actions taken or not taken based on the information provided by UNITY.
6. Limitation of Liability
To the maximum extent permitted by applicable Indian law, in no event will we be liable for any loss or damage, including without limitation, indirect or consequential loss or28 damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with, the use of UNITY. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from:
- The use or the inability to use the Services.
- Unauthorized access to or alteration of your transmissions or data.
- Statements or conduct of any third party29 on the Services.
- Any other matter relating to the Services.30
7. Changes to the Disclaimer Policy
We reserve the right to amend this Disclaimer Policy at any time. We will notify you of any changes by posting the updated policy on our website or within the UNITY application and updating the “Effective Date” at the top of this policy. Your continued use of the Services after such modifications will constitute your acknowledgment and acceptance of the modified31 Disclaimer Policy.
